About This Agreement

This Visa® Debit Card Agreement & Terms and Conditions (this “Card Agreement”) governs the Athena Visa® Debit Card (the “Card”) linked to your Athena Cash account (“Athena Cash account” or “Account”). In this Card Agreement, “you” and “your” mean each consumer who owns the Athena Cash account, including each owner of a Joint Account, and any cardholder; “Athena” means Athena AI Holdings Inc., the financial technology company that operates the Athena Cash account program and is not a bank; “Bank” means Grasshopper Bank, N.A., Member FDIC, which holds your deposits and issues the Card; and “we”, “us”, and “our” mean Athena and the Bank, as applicable. The FDIC’s deposit insurance coverage only protects against the failure of an FDIC-insured bank.

This Card Agreement supplements, and is part of, your Consumer Account Agreement & Disclosures (the “Account Agreement”). Your Athena Cash account, the Bank’s Funds Availability Policy, the Privacy Notice, your E-Sign consent, the Fee Schedule, and the binding arbitration provision and class-action waiver are all set out in the Account Agreement and apply to your Card. If there is a direct conflict between this Card Agreement and the Account Agreement about the Card, this Card Agreement controls for the Card; otherwise the Account Agreement governs. Capitalized terms not defined here have the meaning given in the Account Agreement.

Report a lost or stolen Card immediately

If you believe your Card, PIN, or login credentials have been lost, stolen, or used without your permission, contact us at once — in the Athena app, at 877-687-0111, or at support@athenamoney.co. Prompt notice is the best way to limit your liability (see Section 13).

Arbitration notice. This Card Agreement is subject to the binding arbitration provision and class-action waiver in the Account Agreement. That provision means most disputes are resolved by individual arbitration rather than in court, and you waive the right to a jury trial and to participate in a class action. Please read it carefully.

1. Accepting This Agreement; Activating and Signing Your Card

By requesting, activating, or using your Card — or by allowing anyone else to use it — you agree to all of the terms in this Card Agreement. Please read it carefully and keep a copy; you may download or print it from the Athena app at any time, and we will provide a paper copy on request. When you receive a physical Card, activate it as directed in the app and sign the signature panel on the back before use. Your virtual Card is available in the app once issued. If you choose not to use a physical Card, you may cancel it at any time in the app and should securely destroy it.

2. Eligibility

To have a Card, you must have an open Athena Cash account in good standing, be a consumer using the Card for personal, family, or household purposes, be at least 18 years old (or have attained the age of majority if you reside in a state where the age of majority is over 18), and have passed our identity verification. The Card is tied to your Account; if your Account is closed, your Card is canceled. For a Joint Account, each owner is issued their own Card and selects their own PIN, and each owner is responsible for all Card activity on the Account by either owner, including any negative balance. We do not offer authorized-user (additional) cards to non-owners.

3. Your Card and PIN

Your Card may be issued as a physical card, a virtual card, or both. You will select a personal identification number (PIN) for use at ATMs and at merchants that require a PIN. Keep your Card, PIN, login credentials, and one-time passcodes secure, and do not share them. No Athena or Bank employee will ever ask you for your PIN, full Card number, or a one-time passcode. The Card remains the property of the Bank, and you must return or destroy it if we ask. We may issue you a renewal or replacement Card, which you may activate and use under this Card Agreement.

4. Using Your Card

You may use your Card wherever Visa® Debit is accepted, subject to your Available balance and the limits in Section 6. Your Card may be used to:

  • Make purchases in person (by tapping, inserting, or swiping), online, by phone, and in apps, authorized by signature, PIN, contactless, or network rules;
  • Withdraw cash and check balances at ATMs;
  • Set up recurring or “card-on-file” payments with merchants you authorize;
  • Receive funds pushed to your Card by a sender (for example, certain payouts and transfers); and
  • Pay using a digital wallet after you add the Card (see Section 21).

The Account does not offer paper checks. The Card cannot be used for any purpose that is illegal or prohibited by this Card Agreement (see Section 9). You are responsible for all use of your Card that you authorize, including recurring payments you set up, until you cancel them or report the Card lost, stolen, or compromised.

5. How Card Transactions Are Authorized and Posted

Available balance vs. current balance. Your Account has an Available balance (what you can spend or withdraw right now, after pending transactions and holds) and a current balance (the total in the Account before pending items and holds). Card transactions are authorized against your Available balance. Additional information may be found in the Account Agreement.

Authorization holds. When you use your Card, we generally place a temporary hold on your Available balance for the amount of the transaction. For some merchants — such as gas stations, hotels, car-rental companies, and restaurants — the hold may be more or less than the final amount. The funds held may not be the same funds ultimately used to settle the transaction. A hold is generally released when the transaction settles or after a period set by network rules; a merchant has a limited time under those rules to present the transaction for settlement.

Posting. Settled Card transactions are posted to your Account and reduce your current balance. We may post transactions in the order described in the Account Agreement. Because authorizations and settlement can occur at different times, your Available balance is the best guide to what you can spend.

6. Transaction Limits

Card purchases are limited to your Available balance — you may spend up to the funds available in your Account at the time of the transaction. ATM cash withdrawals and incoming push-to-card funding are also subject to the per-transaction and per-day limits below. We may apply lower limits to new accounts and may change or suspend limits for security or risk reasons. Current limits are also shown in the Athena app. For a Joint Account, the ATM withdrawal and push-to-card limits apply separately to each owner’s Card; purchases by both owners draw on the same Available balance.

Card activityPer transactionPer day
Point-of-sale purchases (signature & PIN)Up to your Available balanceUp to your Available balance
ATM cash withdrawal$500$1,000
Incoming funds pushed to your Card (push-to-card)$1,000$5,000

7. Overdrafts and Insufficient Funds

The Athena Cash account is not designed to be overdrawn. We do not offer an overdraft service for ATM or one-time debit card transactions, and we do not ask you to opt in to any such service; these transactions are declined if your Available balance is insufficient. We do not charge an overdraft or non-sufficient-funds fee. In limited situations your Account could still become overdrawn — for example, if a hold is released, a deposit is returned, or a transaction settles for more than the amount authorized. If that happens, you must repay the negative amount promptly and remain liable until it is repaid, and your Account may be closed if a negative balance is not repaid within 30 days.

8. Foreign and International Transactions

You may use your Card for purchases and ATM withdrawals outside the United States and in foreign currencies wherever Visa® is accepted. Athena does not charge a foreign transaction or currency-conversion fee. When a transaction is made in a currency other than U.S. dollars, or is processed outside the United States, Visa converts it to U.S. dollars using its own exchange rate (and any rules in effect when the transaction is processed), and Visa may assess its own fees; we do not control Visa’s rates or fees. PIN-based transactions and certain features may not be available at all international locations. ATM operators outside the United States may charge their own fees.

9. Use of the Card for Illegal or High-Risk Transactions

You agree to use your Card only for lawful transactions. You may not use your Card for any transaction that is illegal under applicable law, including unlawful internet gambling. We may decline, block, or limit transactions — and may decline to process related disputes — that we reasonably believe are unlawful, fraudulent, or that present undue risk to you, to us, or to the program. Displaying the Visa logo does not mean a transaction is lawful where you are. You agree to hold us harmless for any transaction you initiate for an unlawful purpose, to the extent permitted by law.

10. Card Fees

Card-related fees are set out in the Fee Schedule in your Account Agreement. As of the date of this Card Agreement:

ItemFee
Virtual & physical Card issuanceComplimentary
Physical Card replacementFirst card free; $5.00 each replacement thereafter
Foreign transaction / currency conversion (Athena fee)None (Visa fees/rates may apply)
ATM withdrawal — in-networkNo Athena fee
ATM withdrawal / balance inquiry — out-of-networkNo Athena fee; the ATM operator may charge a fee

Surcharge-free ATM network coverage is described in your Account Agreement. The Fee Schedule controls if it differs from this summary.

11. Documentation of Transactions

You can get a receipt at the time you make a Card purchase or ATM transaction; we recommend you keep it. Your Card transactions appear on your periodic Account statement, available in the Athena app, which identifies the merchant or terminal and the amount of each transaction. You will receive a statement for each statement period even if there is no Card activity, consistent with the Account Agreement.

12. Our Liability for Failed Transfers

If we do not complete a Card transaction to or from your Account on time or in the correct amount when you have properly instructed us, we may be liable for your losses or damages as required by the Electronic Fund Transfer Act. However, we will not be liable, for example: if you do not have enough Available funds for the transaction; if the funds are subject to legal process or another hold; if an ATM did not have enough cash; if a terminal or system was not working properly and you knew about the problem when you started the transaction; if a merchant refused the Card; or if circumstances beyond our reasonable control (such as fire, flood, or a power or communications failure) prevented the transaction despite reasonable precautions. Other exceptions may apply as stated in this Card Agreement or the Account Agreement.

13. Lost or Stolen Card; Unauthorized Transactions

Notify us at once if you believe your Card, PIN, or login credentials have been lost, stolen, or used without your permission, or that an electronic fund transfer has been made without your permission. The best way to limit your losses is to contact us as soon as possible — in the app, at 877-687-0111, or at support@athenamoney.co. If you do not notify us, you could lose all of the money in your Account.

If you notify us…Your maximum liability
Within 2 business days after learning of the loss or theftUp to $50
More than 2 business days after, and we could have stopped the useUp to $500
More than 60 days after the statement showing the unauthorized transfer was sentUnlimited, for transfers after the 60-day period

Visa® Zero Liability. For unauthorized transactions processed on the Visa network, your liability is $0 if you notify us promptly, you exercised reasonable care in safeguarding your Card and PIN, and your Account is in good standing. Visa Zero Liability does not apply to PIN transactions not processed by Visa or to certain commercial or anonymous prepaid transactions; in those cases the limits in the table above apply.

State-specific terms. Some states provide greater protection. For example, the $500 tier does not apply in California, and liability for unauthorized Card use is capped at $50 in New York. If you let someone else use your Card, you are responsible for all use until you notify us to revoke that access.

Joint Accounts. Each owner of a Joint Account authorizes the Card transactions the other owner initiates, and the transactions initiated by anyone the other owner permits to use their Card or PIN. Those transactions are not unauthorized transactions, and each owner is responsible for them. This does not limit either owner’s rights under this Section or under Section 14 (Error Resolution) for a transaction by someone neither owner authorized — for example, if an owner’s Card or PIN is lost, stolen, or compromised by a third party. Either owner may notify us under this Section, and notice from one owner is notice for the Account.

14. Error Resolution

In case of errors or questions about your Card transactions, contact us as soon as you can if you think a transaction on your statement is wrong or receipt is wrong or if you need more information about a transfer listed on the statement or receipt. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared. Tell us your name and Account number, describe the error and why you believe it is an error, and tell us the dollar amount involved. If you tell us orally, we may require your complaint in writing within 10 business days.

We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, we may take up to 45 calendar days (90 days for a new account, a point-of-sale transaction, or a foreign-initiated transaction) to investigate; in that case we will provisionally credit your Account within 10 business days (20 business days for a new account) so you have use of the money during the investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account. We will tell you the results within three business days after completing the investigation and, if we decide there was no error, send a written explanation. You may request copies of the documents we used. Provisional credit may be reversed if we determine no error occurred. This process is also described in the Account Agreement.

In case of errors or questions, contact us: Athena — Athena Cash account, 11 Carlisle Street, Suite 303, Hanover, PA 17331 · Phone: 877-687-0111 · Email: support@athenamoney.co

15. Merchant Disputes

A disagreement with a merchant about goods or services — for example, an item that is defective, not received, or not as described, or a refund you expected — is different from an unauthorized-transaction or error claim under Sections 13 and 14. For these, first try in good faith to resolve the matter with the merchant. If that does not resolve it, we may be able to pursue a chargeback on your behalf under Visa network rules, based on your statement and any documentation we request. We cannot guarantee recovery, and network rules and timeframes apply. Payments you send through a person-to-person service are intended for people you know and trust and generally carry no purchase protection.

16. Stopping Recurring Card Payments

If you have authorized a merchant to charge your Card on a recurring basis, you can ask us to stop one or more of those payments. Contact us through the app or by phone in time for us to receive your request at least three (3) business days before the payment is scheduled; if you call, we may require written confirmation within 14 days. You should also contact the merchant to cancel the authorization. If a recurring payment varies in amount, the merchant is responsible for telling you the amount in advance. Stopping a recurring Card payment is separate from stopping a preauthorized ACH payment, which is described in the Account Agreement.

17. Refusal to Honor the Card

We are not responsible if a merchant, ATM operator, financial institution, or other party refuses to honor or accept your Card, or for the goods or services you purchase with your Card. Your purchases are between you and the merchant.

18. Card-on-File and Automatic Updates

When you store your Card with a merchant or wallet for recurring or one-click payments, you authorize that merchant to initiate charges as you have agreed with them. You acknowledge that we may participate in account-updater services (such as Visa Account Updater) under which your new Card number and expiration date may be shared with the network and with merchants that have your Card on file, so your recurring payments continue without interruption when your Card is reissued. You can manage stored cards with the merchant or wallet and may contact us to opt out where available.

19. Merchant Credits and Refunds

Merchants may issue credits, returns, or refunds to your Card, which will appear on your Account statement. If a credit or refund is sent to a Card or Account that has been closed, we will attempt to apply it to another deposit account you hold with us, or otherwise return the funds to you in accordance with applicable law. Refund timing is controlled by the merchant and the network.

20. Ownership, Suspension, Cancellation, and Expiration

Your Card is the property of the Bank. We may cancel, suspend, block, decline, or limit your Card or any transaction at any time — with or without cause and, where permitted, without prior notice — including for security, risk, legal, or compliance reasons, or if your Account is closed or restricted. You may cancel your Card at any time in the app. Your Card has an expiration date; unless your Account or Card has been closed or restricted, we will generally issue a renewal Card. Canceling or replacing a Card does not by itself cancel recurring payments you have authorized; you remain responsible for those until you cancel them with the merchant. Termination does not affect transactions or obligations that arose before it.

21. Digital Wallets and Tokenization

You may be able to add your Card to a third-party digital wallet (such as Apple Pay, Google Pay, or Samsung Wallet) to make purchases. When you add your Card, the wallet may store a device-specific “token” rather than your actual Card number. Your use of a digital wallet is also subject to the wallet provider’s own terms and privacy practices, which we do not control. Adding your Card to a wallet does not change this Card Agreement; the same terms, limits, and protections apply to wallet transactions. We may suspend or remove your Card from a wallet for security or other reasons, and the wallet provider may do the same under its terms. Keep your device and wallet credentials secure; notify us at once if your device is lost or stolen.

22. Changes; Governing Law; Arbitration

We may add to, delete, or change the terms of this Card Agreement and will give you notice as required by law, including by electronic delivery or by posting the updated Card Agreement in the app. Your continued use of the Card after an amendment takes effect means you accept it. This Card Agreement is governed by federal law and, to the extent not preempted, applicable state law, consistent with the Account Agreement.

Arbitration and class-action waiver. This Card Agreement is subject to the binding arbitration provision and class-action waiver set out in the Account Agreement, which is incorporated here by reference. That provision applies to disputes relating to your Card, consistent with the Account Agreement.

23. Relationship to the Consumer Account Agreement

This Card Agreement is part of, and should be read together with, your Consumer Account Agreement & Disclosures. The following apply to your Card and are governed by the Account Agreement: the terms of your Athena Cash account; the Funds Availability Policy; the Privacy Notice; your E-Sign consent to electronic communications; the Fee Schedule and Rate Sheet; and the arbitration provision and class-action waiver. Where this Card Agreement and the Account Agreement address the same Card matter and directly conflict, this Card Agreement controls for the Card; in all other respects the Account Agreement governs.
